Terms & Conditions and Material Submission Release

SCREENWRITING MENTORSHIP APPLICATION TERMS, CONDITIONS, AND SUBMISSION RELEASE

Please review these Submission Terms and Conditions (the "Agreement") carefully before submitting your screenplay, teleplay, pitch, treatment, outline, or other literary material (collectively, the "Submitted Material") for consideration in the Tough Love Tribe Screenwriting mentorship program (the "Program"). By clicking "I Agree," submitting an application, or uploading material, you ("Applicant" or "You") agree to be bound by all the terms set forth herein.

1. The Parties Covered ("Released Parties")

This Agreement is entered into by Applicant for the express benefit of:

Tough Love Tribe Screenwriting, its parents, subsidiaries, affiliates, successors, licensees, and assigns;

The program founders, organizers, directors, officers, and employees;

Mentors, instructors, readers, evaluators, guest speakers, and independent contractors;

Current and former students, fellows, mentees, and workshop participants of the Program.

All of the above individuals and entities are collectively referred to herein as the "Released Parties."

2. Active Screenwriter Disclosure and Similarity of Ideas

Applicant understands and expressly acknowledges that:

The Released Parties (including program organizers, mentors, evaluating readers, contractors, and participating students) are actively practicing screenwriters, filmmakers, producers, and creative professionals who continuously develop, write, pitch, and produce scripts, concepts, and ideas independently.

Independent creation of substantially similar, or overlapping ideas, themes, concepts, formats, plotlines, characters, backdrops, dialogue, or settings frequently occurs in the entertainment industry without access to or copying of Applicant’s work.

The Released Parties may currently be developing, or may in the future independently develop, write, or acquire material that is competitive with, substantially similar to the Submitted Material.

Applicant shall not be entitled to any compensation, credit, acknowledgement, or claim of infringement, misappropriation, breach of implied contract, or idea theft arising from any project developed, written, or produced by any Released Party that shares similar elements, themes, or concepts.

3. Irrevocable Waiver and Release of Claims

To the maximum extent permitted by applicable law, Applicant unconditionally, knowingly, and irrevocably:

Releases, acquits, and forever discharges all Released Parties from any and all past, present, or future claims, demands, liabilities, damages, suits, actions, causes of action, or proceedings of any kind, whether based on copyright infringement, breach of express or implied contract, breach of confidential or fiduciary relationship, unjust enrichment, unfair competition, or misappropriation of ideas.

Waiver of California Civil Code § 1542 (and Equivalent State Laws): Applicant expressly waives any rights and benefits under California Civil Code Section 1542 (or any similar law of any other jurisdiction), which states:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

4. Mutual Community Confidentiality and Internal Workshops

Applicant acknowledges that if accepted into the Program, participation will involve group workshops, peer table reads, notes sessions, and mutual critique.

All admitted applicants, mentors, and staff will be required to execute a separate mutual Non-Disclosure Agreement (NDA) and code of conduct governing internal scripts shared within the cohort.

Submission of this application does not create a confidential or fiduciary relationship between Applicant and the Released Parties prior to formal admission and mutual execution of program agreements. The submission of application materials is made voluntarily and non-confidentially for evaluation purposes only.

5. Originality, Representations, and Warranties

Applicant represents and warrants that:

Applicant is the sole creator, author, and owner of all rights, title, and interest in and to the Submitted Material (or has full, documented authority to submit on behalf of all co-writers).

The Submitted Material does not infringe upon, misappropriate, or violate any statutory copyright, common law copyright, trademark, right of privacy or publicity, or any other proprietary right of any third party.

The Submitted Material is not defamatory, libelous, or unlawful.

Applicant is at least 18 years of age (or the age of legal majority in their jurisdiction) and has full legal capacity to enter into this Agreement.

6. Indemnification

Applicant agrees to defend, indemnify, and hold harmless all Released Parties from and against any and all claims, damages, liabilities, losses, judgments, costs, and expenses (including reasonable outside attorneys’ fees) arising out of or related to:

Any breach or alleged breach of any representation, warranty, or covenant made by Applicant in this Agreement;

Any claim that the Submitted Material infringes or violates any proprietary or personal right of any third party.

7. Retention and Destruction of Submitted Materials

Applicant acknowledges that the Released Parties are under no obligation to return or preserve physical or digital copies of the Submitted Material. It is Applicant’s sole responsibility to maintain backup copies of all submitted drafts, loglines, and application documents. Released Parties shall not be liable for any lost, damaged, corrupted, or deleted submissions.

8. No Guarantee of Acceptance or Mentorship

Submission of an application does not guarantee admission into the Program, contact from mentors, evaluation notes, coverage, or any commercial advancement, representation, or sale of the Submitted Material. Review and selection decisions are at the sole and unreviewable discretion of the Program administrators.

9. Governing Law, Mandatory Arbitration, and Remedies

Governing Law: This Agreement, and any dispute, controversy, or claim arising out of or related to this Agreement or the Submitted Material, shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to principles of conflicts of law.

Mandatory Binding Arbitration in Vancouver: Any dispute, controversy, claim, or question arising out of, in connection with, or relating to this Agreement, the Submitted Material, or the breach, termination, enforceability, or validity hereof, shall be referred to and finally resolved by binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC) pursuant to its applicable rules in effect at the time the arbitration commences.

Seat and Venue: The legal seat, place, and venue of the arbitration shall be Vancouver, British Columbia, Canada. The language of the arbitration shall be English. The dispute shall be decided by a single arbitrator selected in accordance with VanIAC rules. The arbitrator’s award shall be final, non-appealable, and binding on all parties, and judgment upon the award may be entered and enforced in any court of competent jurisdiction.

Virtual / Remote Proceedings: Unless the arbitrator determines an in-person hearing in Vancouver is strictly necessary in the interests of justice, the parties agree that any procedural hearings, conferences, and merits hearings may be conducted virtually via videoconference (e.g., Zoom or equivalent platform).

Waiver of Injunctive Relief: In the event of any alleged breach or infringement, Applicant’s sole remedy shall be strictly limited to an action for actual monetary damages (if any). Under no circumstances shall Applicant be entitled to rescind this Agreement, seek or obtain injunctive relief, or otherwise enjoin, restrain, halt, or interfere with the development, pre-production, filming, post-production, marketing, distribution, streaming, exhibition, or exploitation of any motion picture, television project, series, script, literary material, or program associated with any Released Party.

Attorneys’ Fees: The prevailing party in any arbitration or legal proceeding arising out of or relating to this Agreement shall be entitled to recover from the non-prevailing party its reasonable legal fees, expert fees, administrative arbitration expenses, and costs incurred.

10. Severability and Entire Agreement

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the complete and final understanding between Applicant and the Released Parties regarding the submission process, superseding all prior oral or written discussions or representations.
